Negotiating terms with the other side or their counsel until the agreement protects your position.

FAQ
What clients ask about contracts
Do I need a lawyer to review a contract before I sign it?
+
If the contract matters to your business, yes. The other side's draft is written to protect them, and the terms that decide your risk (liability caps, indemnification, termination, auto-renewal, and who owns the work) are rarely balanced by default. They're also far easier to change before you sign than after.
What does a contract lawyer do?
+
A contract lawyer drafts, reviews, and negotiates agreements so the terms reflect the deal you actually made and protect you if something goes wrong. That includes spotting what's missing, not just what's written.
How much does a contract review cost?
+
Most single contract reviews are priced as a flat fee, agreed before we start, so you know the cost up front. Businesses with a steady flow of agreements often move to our Outside General Counsel subscription instead.
Can you draft a contract from scratch, or only review one?
+
Both. We draft agreements from scratch, build templates your business can reuse, and review and negotiate drafts you've received from the other side.
The other side says their contract is "standard." Is it?
+
There's no such thing as a standard contract, only a first draft. "Standard" usually means "written by our lawyer, for us." Most terms are negotiable, especially before you sign.
What types of businesses do you work with on contracts?
+
Startups, small businesses, established companies, investors, and family offices. If your business signs agreements, we can help make sure they work for you.
Do you work with clients outside Miami?
+
Yes. We're licensed in Florida and represent clients statewide, and many of the contracts we handle involve parties in other states or countries.
